Instructor Agreement

This Instructor Agreement (“Agreement”) applies to individuals, businesses, organizations, and other entities that create, submit, publish, sell, or provide courses or educational content through the FOMEDI platform.
FOMEDI is operated by Odies Digital LLC.
By applying to become an instructor, submitting course content, publishing a course, or otherwise providing educational content through FOMEDI, you agree to this Agreement and the applicable FOMEDI Terms of Service.
Instructor Eligibility
To become an instructor, you must:
- Provide accurate and complete information;
- Have the legal capacity to enter into this Agreement;
- Comply with applicable laws;
- Provide accurate payment and tax information where required;
- Have all necessary rights and permissions to publish your content.
FOMEDI may approve or reject instructor applications at its discretion.
Instructor Account
You are responsible for maintaining the confidentiality of your instructor account credentials.
You agree not to:
- Share your instructor account with unauthorized individuals;
- Impersonate another person or organization;
- Provide false or misleading information;
- Use the platform for fraudulent or unlawful purposes.
You are responsible for all activity associated with your instructor account.
Course Content Requirements
Instructors are responsible for the content they submit to FOMEDI.
All course content must:
- Be accurate to the best of the instructor’s knowledge;
- Be described honestly;
- Comply with applicable laws;
- Respect the rights of others;
- Not contain unlawful or fraudulent material;
- Not intentionally contain malicious software or harmful code.
Instructors must not upload content that infringes another person’s copyright, trademark, privacy, publicity, or other legal rights.
Instructor Ownership of Content
Except for the license granted to FOMEDI under this Agreement, instructors retain ownership of the intellectual property rights they own in their original course content.
By submitting content to FOMEDI, you represent and warrant that you own the content or have obtained all necessary rights, licenses, permissions, and consents required to use and distribute it.
License Granted to FOMEDI
By submitting or publishing course content through FOMEDI, you grant FOMEDI a worldwide, non-exclusive, royalty-free license to:
- Host and store the content;
- Reproduce the content as necessary to operate the Services;
- Display and distribute the content to authorized students;
- Process and format the content for technical delivery;
- Promote courses and instructors through FOMEDI marketing channels;
- Use course titles, descriptions, instructor names, images, and promotional materials to market the course and the platform;
- Create technical previews, thumbnails, excerpts, or promotional materials related to the course.
This license continues for as long as reasonably necessary to operate the Services and fulfill obligations to students who have purchased or enrolled in a course, subject to applicable law and the terms of this Agreement.
Student Access
When a student purchases or enrolls in a course, the student may receive a limited license to access the course according to the applicable FOMEDI terms and purchase conditions.
Instructors may not independently revoke a student’s access to a purchased course unless authorized by FOMEDI or required by law.
Course Pricing
Where applicable, instructors may set or participate in pricing for their courses according to the tools and policies made available by FOMEDI.
FOMEDI may:
- Offer promotional pricing;
- Apply discounts;
- Offer coupons;
- Create bundles;
- Conduct marketing campaigns;
- Adjust pricing where necessary to correct errors or administer promotions.
Specific revenue-sharing or commission terms may be provided separately through the instructor dashboard, applicable program terms, or another agreement.
Instructor Payments
Where instructors are eligible to receive payments, payments may be subject to:
- Applicable platform fees;
- Payment processing fees;
- Refunds;
- Chargebacks;
- Taxes;
- Withholding requirements;
- Fraud prevention reviews;
- Other applicable adjustments.
FOMEDI may delay or withhold payment where reasonably necessary to investigate suspected fraud, abuse, unlawful activity, payment reversals, or violations of this Agreement.
Taxes
Instructors are responsible for determining and fulfilling their own tax obligations arising from payments received through FOMEDI.
FOMEDI may collect tax information or provide tax-related documentation where required by applicable law.
Prohibited Content
Instructors may not submit content that:
- Infringes third-party intellectual property rights;
- Contains unlawful content;
- Promotes fraud or illegal activity;
- Contains malware or malicious code;
- Intentionally misleads students;
- Makes deceptive guarantees of income or results;
- Violates applicable advertising or consumer protection laws;
- Contains content that violates the FOMEDI Terms of Service.
FOMEDI may remove or restrict content that violates this Agreement or creates legal, security, reputational, or operational risks.
Intellectual Property Complaints
If you believe that content on FOMEDI infringes your intellectual property rights, you may contact FOMEDI through the contact information provided in our Copyright / Intellectual Property Policy.
Instructors agree to cooperate reasonably with investigations involving their content.
Student Data
Instructors may receive limited information about students where necessary to provide or manage educational services.
Instructors must:
- Use student information only for legitimate educational or platform-related purposes;
- Protect student information from unauthorized access;
- Not sell student information;
- Not use student information for unrelated marketing without appropriate authorization;
- Comply with applicable privacy and data protection laws.
Instructors may not export, scrape, or collect student information beyond what is reasonably necessary to provide the applicable course or educational service.
Instructor Representations
By submitting course content, you represent and warrant that:
- You have the necessary rights to submit and distribute the content;
- The content does not knowingly infringe third-party rights;
- You have obtained necessary permissions for people appearing in the content;
- You have obtained necessary licenses for third-party materials;
- The information provided to FOMEDI is accurate;
- Your participation does not violate another agreement to which you are subject.
Content Review and Removal
FOMEDI may review, restrict, suspend, or remove courses or other content when reasonably necessary to:
- Enforce this Agreement;
- Comply with law;
- Respond to intellectual property complaints;
- Protect users;
- Prevent fraud or abuse;
- Address security concerns;
- Protect the integrity of the platform.
FOMEDI does not guarantee that all course content will be reviewed or verified before publication.
Instructor Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless FOMEDI, Odies Digital LLC, and their officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:
- Your course content;
- Your violation of this Agreement;
- Your violation of applicable law;
- Your violation of third-party rights;
- Your misuse of student information.
Termination
You may request to stop offering new courses through FOMEDI.
FOMEDI may suspend or terminate an instructor account or remove course content if an instructor violates this Agreement, the Terms of Service, applicable law, or other FOMEDI policies.
Termination may not automatically eliminate obligations relating to:
- Previously purchased courses;
- Refunds;
- Chargebacks;
- Intellectual property;
- Confidentiality;
- Student data;
- Indemnification.
Changes to This Agreement
FOMEDI may update this Agreement from time to time.
The updated version will be posted with a revised “Last Updated” date.
Where required, FOMEDI may provide additional notice of material changes.
