Welcome to FOMEDI.

These Terms of Service (“Terms”) govern your access to and use of the FOMEDI website, platform, applications, courses, marketplace, and related services (collectively, the “Services”).

FOMEDI is operated by Odies Digital LLC.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Services.

1. Eligibility

You must provide accurate information when creating an account and must comply with all applicable laws.

If you are under the age required to enter into a legally binding contract in your jurisdiction, you may use the Services only with the involvement and permission of a parent or legal guardian where required by law.

The Services are not directed to children under 13.

2. User Accounts

Certain features require an account.

You agree to:

FOMEDI may provide the technology and marketplace infrastructure but does not necessarily create, own, or endorse every course available on the platform.

The opinions, statements, educational materials, and claims contained in individual courses are generally the responsibility of the applicable instructor or content provider.

4. Educational Content

Courses available through FOMEDI are provided for educational and informational purposes.

Unless expressly stated otherwise:

  • FOMEDI does not guarantee any specific educational, professional, financial, employment, business, or other result;
  • Completion of a course does not guarantee employment, certification, licensing, income, or professional success;
  • Educational content may become outdated;
  • You are responsible for determining whether course content is appropriate for your circumstances.

You should seek qualified professional advice where appropriate.

5. Purchases and Payments

When you purchase a course or other product through the Services, you agree to provide accurate billing and payment information.

Prices may be displayed in different currencies depending on the payment provider, location, or applicable configuration.

Payment processing may be handled by third-party payment providers. Their terms and privacy policies may apply to payment transactions.

FOMEDI reserves the right to correct pricing errors and cancel or refund transactions affected by obvious errors where permitted by law.

6. Refunds

Refunds are governed by our Refund and Cancellation Policy, which is incorporated into these Terms.

Please review that policy before making a purchase.

7. License to Access Course Content

When you purchase or enroll in a course, you receive a limited, personal, non-exclusive, non-transferable, revocable license to access the course content for personal educational purposes.

Unless expressly authorized by FOMEDI or the applicable content owner, you may not:

  • Copy or reproduce course materials;
  • Download content where downloading is not expressly permitted;
  • Share account access;
  • Resell or redistribute course content;
  • Upload course content to another platform;
  • Publicly display or distribute course materials;
  • Record, reproduce, or commercially exploit course content;
  • Use course content to create competing content or services in violation of applicable law or the rights of the content owner.

8. User Content

You may be able to submit reviews, comments, questions, messages, profile information, assignments, or other content (“User Content”).

You retain ownership of your User Content.

However, by submitting User Content through the Services, you grant FOMEDI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and use that content as reasonably necessary to operate, improve, and promote the Services.

You represent that you have the necessary rights to submit the User Content.

9. Prohibited Conduct

You may not:

  • Violate any applicable law;
  • Infringe intellectual property rights;
  • Access accounts or systems without authorization;
  • Attempt to bypass security measures;
  • Use the Services for fraud or illegal activity;
  • Upload malware or malicious code;
  • Harass, threaten, or abuse other users;
  • Impersonate another person or entity;
  • Scrape or systematically collect information without authorization;
  • Use the Services to distribute spam;
  • Share or redistribute paid course content without authorization;
  • Interfere with the operation of the Services.

10. Instructor Responsibilities

Instructors are responsible for:

  • The accuracy and legality of their course content;
  • Having all necessary rights and permissions;
  • Not infringing third-party intellectual property;
  • Providing accurate course descriptions;
  • Complying with applicable laws;
  • Responding appropriately to student questions where applicable.

FOMEDI may review, remove, suspend, or restrict courses or instructor accounts that violate these Terms or applicable law.

11. Intellectual Property

The Services, including FOMEDI branding, logos, software, design, text, graphics, and other materials owned by FOMEDI, are protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or exploit FOMEDI-owned materials.

12. Third-Party Services

The Services may integrate with third-party services, including payment processors, analytics providers, hosting providers, and other technology providers.

FOMEDI is not responsible for the availability, functionality, security, or policies of third-party services.

13. Suspension and Termination

We may suspend or terminate access to the Services or an account if we reasonably believe that:

  • You violated these Terms;
  • You engaged in fraud or abuse;
  • Your activity creates security or legal risks;
  • Your account is used for unlawful purposes.

Where appropriate, we may provide notice before termination. However, immediate suspension may be necessary in certain circumstances.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FOMEDI DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR RELIABILITY.

FOMEDI DOES NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOMEDI AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FOMEDI ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO FOMEDI FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED UNITED STATES DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some provisions may not apply to you.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless FOMEDI, Odies Digital LLC, and their officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your violation of these Terms;
  • Your User Content;
  • Your violation of law or third-party rights;
  • Your misuse of the Services.

17. Governing Law
